i have a 2.5" WD 320gb black edition, on wdc site says that this drive has 5 years warranty, why i have only 2 yr?

Where did you purchase the drive?
Depending on the location were you purchased the drive, the unit will have 3 or 5 years warranty. If you purchased the unit within the US, your unit should have a 5 years warranty if is not a OEM Drive.
As a recommendation, contact WD Support with the POP (proof of purchase) and if is a valid unit the warranty will be updated
